Affiliate Program Terms

These Affiliate Program Terms ("Program Terms") govern participation in the Ruune affiliate and creator commission program (the "Program") operated by Internet of Humans, Inc. ("IoH," "Ruune," "we," "us," or "our"). They apply in addition to your individual creator, content, or affiliate agreement with us (your "Agreement") and to our Terms of Service and Privacy Policy. If your Agreement and these Program Terms conflict on a specific deal term (for example, your commission rate), your Agreement controls. We may update these Program Terms from time to time as described in Section 10.
1. Enrollment and Eligibility
You join the Program when we approve your application or issue you a referral code. You must be at least 18 years old, provide accurate account and payment information, and keep it current. Participation is personal to you and may not be transferred or assigned without our written consent. We may accept or decline any applicant at our discretion.
2. Your Referral Code
We will issue you one or more unique referral/discount codes. Codes remain our property, are licensed to you only for use in the Program, and may be changed, suspended, or revoked at any time. You may share your code with your audience but may not sell it, list it on coupon or deal aggregator sites, use it in paid search on our brand terms, or distribute it through spam, malware, or misleading placements.
3. Commissions
Subject to these Program Terms and your Agreement, you earn a commission on qualifying purchases. Unless your Agreement states otherwise:
- Your commission rate is the rate set out in your Agreement or your affiliate dashboard.
- Commission is calculated on the net sale value of an order — excluding taxes, shipping, and any discounts applied (including the value of your own code).
- A purchase is qualifying only if it is a genuine, arm's-length sale of Ruune products to an end customer that correctly attributes your code and is fully paid.
- Commission is not payable on your own purchases, purchases by people acting on your behalf, wholesale or reseller orders, gifts, promotional or $0 orders, or orders we reasonably believe to be fraudulent or non-genuine.
4. Maturity and Reversals
A commission accrues when a qualifying purchase is made but only becomes payable after the applicable return/refund window stated in your Agreement has elapsed with no refund, cancellation, or chargeback. If an order is later refunded, cancelled, disputed, or charged back, or if we determine it was not qualifying, the related commission does not become payable and any amount already accrued or paid may be reversed or offset against future commissions.
5. Payouts
We pay matured commissions via PayPal to the account you designate, once your payable balance reaches the minimum payout threshold stated in your Agreement or dashboard, on our standard payout schedule (typically monthly). Balances below the threshold roll over to the next period. You are responsible for maintaining a valid PayPal account and for any fees that account charges. We are not responsible for payments delayed or lost due to inaccurate payment details.
6. Disclosure and Promotional Conduct
You are an independent promoter, not our employee, agent, or spokesperson. When promoting Ruune you agree to:
- Clearly and conspicuously disclose your material connection to Ruune in accordance with the U.S. FTC's endorsement guides and any applicable local law (for example, using #ad or "paid partnership").
- Only make claims about Ruune that are truthful, substantiated, and consistent with our published materials.
- Not make misleading, deceptive, or disparaging statements, or imply an endorsement or partnership beyond what exists.
- Not bid on our trademarks or brand terms in paid search, or misrepresent yourself as Ruune.
- Comply with the terms and advertising policies of every platform on which you promote.
7. Prohibited Conduct
Fraud, self-referral, code sharing to obtain commissions on your own or affiliated purchases, cookie stuffing, incentivized or fake orders, and any attempt to artificially generate commissions are strictly prohibited. We may investigate suspected abuse, withhold or reverse affected commissions, and remove you from the Program.
8. Taxes
You are solely responsible for all taxes on commissions you earn. You agree to provide any tax documentation we reasonably request (for example, a W-9 or W-8), and you acknowledge that we may be required to report payments to you (for example, on a Form 1099) and to withhold where required by law.
9. Program Discretion
The Program is offered at our discretion. We may change program-wide terms — including commission rates, thresholds, the return window, eligible products, and the payout schedule — prospectively on notice. Changes do not affect commissions that have already accrued before the change takes effect.
10. Changes to These Program Terms
We may modify these Program Terms at any time by posting the updated version and updating the "Last updated" date, and, where appropriate, by notifying you. Your continued participation after the effective date constitutes acceptance of the updated Program Terms.
11. Suspension and Termination
Either party may end your participation in the Program at any time. We may suspend, withhold payouts from, or terminate your participation — and revoke your code — immediately for fraud, self-purchasing, policy or disclosure violations, or breach of these Program Terms or your Agreement. On termination for cause, unpaid and unmatured commissions may be forfeited. Sections that by their nature should survive (including Reversals, Taxes, and Limitation of Liability) survive termination.
12. Relationship of the Parties
You participate as an independent contractor. Nothing in the Program creates an employment, agency, partnership, or joint-venture relationship, and you have no authority to bind IoH or incur obligations on our behalf.
13. Disclaimers and Limitation of Liability
The Program is provided "as is." We do not guarantee any minimum level of sales, commissions, or earnings. To the maximum extent permitted by law, our total liability relating to the Program will not exceed the commissions actually payable to you in the three (3) months preceding the event giving rise to the claim, and the disclaimers and limitations in our Terms of Service also apply.
14. Governing Law
These Program Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, and are subject to the dispute-resolution provisions of our Terms of Service.
